1. Acceptance of Terms

By accessing or using PieceWrk ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

We reserve the right to modify these Terms at any time. Your continued use of the Service after changes are posted constitutes your acceptance of the modified Terms.

2. Description of Service

PieceWrk is a workforce management platform designed for the construction industry. The Service provides tools for employee management, time tracking, project management, communication, and related features to help construction companies manage their workforce efficiently.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without notice.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

3.2 Account Types

PieceWrk offers different account types with varying access levels and features. Company administrators are responsible for managing access and permissions for their organization's users.

4. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Violate the rights of others, including privacy and intellectual property rights
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers/networks connected to it
• Use automated systems to access the Service in a manner that exceeds reasonable human use
• Transmit viruses, malware, or other harmful code
• Impersonate any person or entity or misrepresent your affiliation
• Collect or harvest information about other users without their consent

5. User Content

5.1 Your Content

You retain ownership of any content you submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, and distribute your User Content solely for the purpose of providing and improving the Service.

5.2 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate any laws or these Terms
• Your User Content does not infringe on the rights of third parties

5.3 Content Removal

We reserve the right to remove or modify any User Content that violates these Terms or is otherwise objectionable, at our sole discretion.

6. Intellectual Property

6.1 Our Property

The Service, including its original content, features, and functionality, is owned by PieceWrk and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Trademarks

PieceWrk and related logos are trademarks of our company. You may not use these trademarks without our prior written permission.

7. Payment and Subscriptions

7.1 Fees

Some features of the Service may require payment. You agree to pay all fees associated with your account according to the pricing and payment terms in effect at the time the fee is due.

7.2 Billing

Subscription fees are billed in advance on a recurring basis (monthly or annually). You authorize us to charge your payment method for all fees. If automatic billing fails, we will issue an invoice that you must pay within the specified time.

7.3 Refunds

Fees are non-refundable except as required by law or as explicitly stated in these Terms. We may offer refunds on a case-by-case basis at our sole discretion.

7.4 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will not receive a refund for any unused portion of your subscription.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

9. Third-Party Services

The Service may integrate with or contain links to third-party services, websites, or applications. We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to their terms and conditions.

10. Disclaimers and Limitations of Liability

10.1 Service Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIECEWRK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of the Service
• Any bugs, viruses, or other harmful code transmitted through the Service
• Any errors or omissions in any content

10.3 Maximum Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless PieceWrk and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us or using the account termination feature in the Service.

12.2 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Non-payment of fees
• Suspected fraudulent or illegal activity
• At our discretion for any other reason

12.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account and User Content. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Dispute Resolution

13.1 Informal Resolution

If you have a dispute with us, you agree to first contact us and attempt to resolve the dispute informally by emailing us at support@sunsupconstruction.com.

13.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nebraska, United States, without regard to its conflict of law provisions.

13.3 Arbitration

Any disputes arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14. Data Processing Role

When a company subscribes to and uses PieceWrk, PieceWrk acts as a service provider and data processor with respect to the personal data of that company and its employees. PieceWrk processes such personal data only to provide the Service and only in accordance with the company's instructions and our Privacy Policy. PieceWrk does not sell or use that data for its own independent commercial purposes.

A list of the third-party subprocessors PieceWrk uses to deliver the Service is available at /subprocessors. PieceWrk will notify companies of any material changes to that list before they take effect.

Companies that require a Data Processing Addendum ("DPA") to satisfy their obligations under the GDPR, CCPA, or other applicable privacy laws may request one by emailing office@sunsupconstruction.com.

15. General Provisions

15.1 Entire Agreement

These Terms constitute the entire agreement between you and PieceWrk regarding the Service and supersede all prior agreements.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations without restriction.
